These Terms of Service (“Agreement”) govern the use of the IT services provided by PC CoPilot (“we,” “our,” or “us”) to you (“Client” or “you”) and apply to all engagements, orders, and interactions between PC CoPilot and its clients.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these terms, do not use our services.
1. Services Provided

We provide IT services, including but not limited to:

Network setup and management
Cloud computing solutions
Cybersecurity services
Software installation and maintenance
Data recovery and backup solutions
IT support and consulting
Custom software development

2. Service Agreements

A separate service agreement or contract will be provided to you for specific projects, which will outline the scope, timeline, and payment terms.

3. Client Obligations

You agree to:

Provide accurate and timely information necessary for us to perform our services.
Cooperate with us in good faith to help deliver services effectively.
Ensure that any third-party software or hardware used is properly licensed.
Inform us of any security incidents, breaches, or data loss.

4. Payment Terms

Pricing: Services are billed at agreed-upon rates, which may be set forth in a separate contract, quotation, or invoice.
Payment Due Date: Payment is due within 5 days from the date of invoice, unless otherwise specified in writing.
Refund Policy: Payments for services already rendered are non-refundable, except where otherwise stated in the contract.

5. Intellectual Property

Ownership: Any software, documentation, or other materials developed during the course of the project are the property of PC CoPilot unless otherwise agreed upon in writing.
License: You are granted a limited, non-transferable license to use the products and services provided to you for the purpose of your business operations.

6. Confidentiality

Both parties agree to keep all confidential information exchanged during the term of this Agreement confidential, including any proprietary information, trade secrets, customer data, or technical specifications, except as required by law or with consent from the disclosing party.

7. Privacy and Data Protection

We will handle your data in compliance with applicable data protection and privacy laws. Please refer to our Privacy Policy for details on how we collect, use, and protect your information.

8. Service Availability and Limitations

We make no guarantees regarding uninterrupted access to our services, as technical issues, third-party outages, or other unforeseen events may impact service availability.
We are not liable for any damages or losses caused by delays or interruptions outside of our control.

9. Indemnity

You agree to indemnify and hold PC CoPilot harmless from any claims, losses, liabilities, damages, or expenses arising from:

Your use of the services.
Any breach of this Agreement.
Unauthorized use of intellectual property or third-party services.

10. Limitation of Liability

Our liability for any claim, loss, or damage related to the services we provide is limited to the total amount paid by you for those services in the 2 months preceding the claim. We are not liable for any indirect, special, incidental, or consequential damages.

11. Termination

Either party may terminate this Agreement with written notice if the other party breaches any material terms, and such breach is not remedied within 60 days after notice. Upon termination, you must pay for all services rendered up to the termination date.

12. Force Majeure

Neither party will be liable for any failure to perform due to causes beyond their reasonable control, including but not limited to natural disasters, pandemics, or government actions.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of North Canton, OHIO, without regard to its conflict of law principles.

14. Dispute Resolution

Any disputes arising from this Agreement will be resolved through mediation, and the venue for such proceedings will be in Canton, OHIO.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Any changes will be posted on this page, and the new terms will take effect immediately upon posting.
